Terms of Service

The baseline terms for using Bylinedesk websites, workspaces, and managed editorial services.

Effective date: May 4, 2026

These Terms of Service (the "Terms") govern access to and use of the Bylinedesk websites, public article pages, managed editorial desk, admin and client workspaces, account setup flows, and related services (collectively, the "Services") provided by Bylinedesk Inc. ("Bylinedesk," "we," "us," or "our").

1. Acceptance Of These Terms

By accessing or using the Services, creating an account, accepting an invitation, or using the Services on behalf of a company or other organization, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not use the Services.

If you or your organization has a separate written agreement, order form, statement of work, data processing addendum, or master services agreement with Bylinedesk, that agreement controls to the extent it conflicts with these Terms.

2. The Services

Bylinedesk is a managed AI editorial desk for company blogs, articles, resources, and updates. The Services may include:

  • Source monitoring and source-list configuration.
  • Editorial desk setup, topic configuration, and source strategy.
  • AI-assisted research, article planning, drafting, review, revision, and quality checks.
  • Admin and customer workspaces for reviewing, editing, approving, holding, scheduling, publishing, and archiving article drafts.
  • Public article pages and related published-content surfaces.
  • Account setup, membership, role, and access-management workflows.
  • Operational support, maintenance, and related professional services.

We may update, change, suspend, or discontinue parts of the Services from time to time.

3. Business Use And Eligibility

The Services are intended for business and professional use. You may use the Services only if you are legally able to enter into a binding agreement and are at least 18 years old.

You are responsible for ensuring that your use of the Services complies with all laws, regulations, professional obligations, customer agreements, employment rules, and internal policies that apply to you.

4. Accounts And Authorized Users

Some parts of the Services require an account. You agree to provide accurate account information, keep it current, protect your credentials, and promptly notify us if you suspect unauthorized access.

Customer administrators are responsible for deciding which users receive access to their workspace, assigning appropriate roles, removing users who should no longer have access, and monitoring activity within their organization.

You are responsible for activity that occurs under your account, except to the extent caused by Bylinedesk's breach of these Terms.

5. Customer Content

"Customer Content" means materials, data, text, files, links, source lists, instructions, comments, drafts, review notes, approvals, publication decisions, and other content that you or your authorized users submit to or create through the Services.

You retain ownership of your Customer Content. You grant Bylinedesk a non-exclusive, worldwide, royalty-free license to host, copy, process, display, transmit, modify, create derivative workflow artifacts from, and otherwise use Customer Content as needed to provide, secure, support, improve, and operate the Services.

You represent and warrant that you have all rights, permissions, consents, and authority needed to provide Customer Content to Bylinedesk and to allow Bylinedesk to process it for the Services.

6. Published Content And Publication Decisions

Bylinedesk may help prepare draft articles and related materials, but you are responsible for reviewing and approving any content before publication.

Unless a separate agreement says otherwise:

  • You are responsible for final editorial judgment, factual review, legal review, regulatory review, professional review, copyright review, and publication decisions.
  • You decide whether to approve, revise, hold, schedule, publish, update, or remove content.
  • You are responsible for content published under your organization's name, website, workspace, or public article surface.
  • You must not publish content you do not have the right to publish.

If Bylinedesk hosts public article pages for you, you authorize Bylinedesk to display the approved published content and related metadata publicly until the content is unpublished, removed, or the applicable service ends.

7. AI-Assisted Features

The Services use AI-assisted workflows. AI-assisted outputs can be useful, but they may be inaccurate, incomplete, outdated, unsupported, duplicative, or inappropriate for your specific context.

You acknowledge and agree that:

  • AI-assisted outputs are drafts and work product for review, not final advice.
  • Bylinedesk does not guarantee that AI-assisted outputs are accurate, complete, non-infringing, current, or fit for your intended use.
  • You must independently review and approve outputs before relying on them or publishing them.
  • The Services do not provide legal, tax, accounting, financial, medical, compliance, or other regulated professional advice.
  • You are responsible for deciding whether additional review by qualified professionals is required.

Unless a customer expressly agrees otherwise, Bylinedesk does not sell Customer Content, use Customer Content to train general-purpose AI models, or permit its AI service providers to use Customer Content to train general-purpose AI models.

8. Bylinedesk Intellectual Property

Bylinedesk and its licensors retain all rights in the Services, including software, interfaces, workflows, templates, prompts, systems, designs, trade secrets, know-how, documentation, branding, and other Bylinedesk materials.

Except for the limited rights expressly granted in these Terms or a separate agreement, no rights are transferred to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, scrape, or attempt to extract source code or underlying models, systems, or non-public workflows from the Services except to the extent applicable law prohibits this restriction.

9. Feedback

If you provide ideas, suggestions, requests, comments, or other feedback about the Services, you grant Bylinedesk a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation. We will not identify you publicly as the source of feedback without permission.

10. Acceptable Use

You may not use the Services to:

  • Violate law or the rights of others.
  • Upload, submit, generate, or publish unlawful, infringing, defamatory, fraudulent, deceptive, harmful, or malicious content.
  • Disclose personal information or confidential information that you are not authorized to disclose.
  • Send spam or unauthorized bulk messages.
  • Interfere with, disrupt, overload, scan, probe, or attack the Services or any related systems.
  • Bypass access controls, authentication, tenant boundaries, or security measures.
  • Introduce malware, spyware, harmful code, or security vulnerabilities.
  • Misrepresent the source, approval status, evidence, authorship, or legal review status of content.
  • Use the Services to develop a competing product by copying non-public Bylinedesk features, workflows, or interfaces.
  • Use the Services in a way that could reasonably harm Bylinedesk, another customer, a source publisher, or the public.

We may investigate suspected violations and may suspend or terminate access if we reasonably believe a violation has occurred.

11. Third-Party Services And Sources

The Services may rely on, connect to, or link to third-party services and sources, including hosting, authentication, email delivery, AI service providers, public websites, publications, databases, and customer-authorized tools.

Third-party services and sources are governed by their own terms and policies. Bylinedesk does not control and is not responsible for third-party services, source availability, source accuracy, source permissions, or third-party content.

You are responsible for ensuring that your use of third-party services, source materials, and connected systems complies with applicable terms and laws.

12. Privacy

Our Privacy Policy explains how Bylinedesk collects, uses, discloses, and protects personal information. By using the Services, you acknowledge the Privacy Policy.

If Bylinedesk processes personal information for a customer under a separate data processing addendum, that addendum controls the covered processing.

13. Fees, Payment, And Customer Agreements

Fees, payment terms, taxes, renewals, refunds, service levels, support terms, and other commercial terms should be set out in a separate order form, statement of work, invoice, online plan, or customer agreement.

If Bylinedesk launches self-serve paid plans, this section should be expanded before publication to cover subscriptions, automatic renewal, cancellation, refunds, taxes, failed payments, and price changes.

14. Confidentiality

Each party may receive non-public information from the other party that is identified as confidential or should reasonably be understood to be confidential. The receiving party will use confidential information only to perform or receive the Services, will protect it using reasonable care, and will not disclose it except to personnel, service providers, advisors, or representatives who need to know it and are bound by appropriate obligations.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of confidential information, or lawfully received from a third party without restriction.

Published content, public article pages, and information you direct us to make public are not confidential once published.

15. Copyright And Content Reports

If you believe content available through the Services infringes your copyright or other rights, contact us at legal@bylinedesk.com with enough information for us to review the issue. Bylinedesk may remove, disable, or restrict access to content where appropriate.

16. Suspension And Termination

You may stop using the Services at any time. Bylinedesk may suspend or terminate access to the Services if:

  • You breach these Terms or a customer agreement.
  • Your use creates security, legal, operational, or reputational risk.
  • Payment required under a separate agreement is overdue.
  • We are required to do so by law or by a service provider.
  • We discontinue the relevant Services.

Termination does not affect rights or obligations that by their nature should survive, including confidentiality, payment obligations, ownership, disclaimers, limitations of liability, indemnity, dispute terms, and record-retention rights.

17. Disclaimers

The Services are provided "as is" and "as available" to the fullest extent permitted by law. Bylinedesk disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Bylinedesk does not warrant that the Services or outputs will be uninterrupted, error-free, secure, current, complete, or free from harmful components.

No information or output from the Services is legal, tax, accounting, financial, medical, compliance, or other regulated professional advice.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

18. Limitation Of Liability

To the fullest extent permitted by law, Bylinedesk will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost business, lost goodwill, lost data, or costs of substitute services, even if Bylinedesk has been advised of the possibility of such damages.

To the fullest extent permitted by law, Bylinedesk's total liability arising out of or relating to the Services or these Terms will not exceed the fees paid to Bylinedesk for the Services giving rise to the claim during the 12 months before the event giving rise to the claim.

19. Indemnification

You will defend, indemnify, and hold harmless Bylinedesk and its officers, directors, employees, contractors, service providers, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

  • Your use of the Services.
  • Your Customer Content or published content.
  • Your breach of these Terms or a customer agreement.
  • Your violation of law or third-party rights.
  • Your publication decisions, professional review decisions, or failure to review outputs before use.

Bylinedesk will give you reasonable notice of indemnified claims and reasonably cooperate at your expense.

20. Export, Sanctions, And Restricted Use

You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, or if you are identified on any restricted-party list that prohibits the transaction.

You agree to comply with all applicable export control, sanctions, and trade laws.

21. Changes To These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. If changes are material, we may provide additional notice, such as by posting a notice on the Services or sending an email where appropriate.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

22. Governing Law And Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Boston, Massachusetts, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or service security.

23. Miscellaneous

These Terms, together with any referenced policies and applicable customer agreements, are the entire agreement between you and Bylinedesk for the covered Services. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets. Failure to enforce a provision is not a waiver.
